CERTIFIED COACH LICENSING & SERVICE AGREEMENT

Governing the Certification, Licensing, and Professional Standards

of a Be The Firefly Certified Identity Transformation Coach

SECTION I: PREAMBLE & PURPOSE

Be The Firefly was founded on a single conviction: words create worlds. The story a person tells themselves about who they are: "I AM not enough," "I AM unlovable," "I AM the kind of person who always ends up here," becomes the architecture of their life. The I AM Theory™ and The Firefly Path™ were built to go to the root of that story, not just its surface.

This Agreement exists because that work matters too much to be carried carelessly. Be The Firefly Certified Coaches are trained, evaluated, and licensed - not merely enrolled. This contract is not a barrier. It is a mutual commitment to the standard the work deserves and the people it serves require.

"Stop Performing. Start Becoming." is not just the mission for clients. It is the standard every Be The Firefly Certified Coach agrees to live and work from.

SECTION II: DEFINITIONS

As used throughout this Agreement, the following terms carry the following meanings:

2.1 "The I AM Theory™" means the proprietary 12-Key identity transformation framework developed by Travis White, including all associated curriculum, tools, assessments, worksheets, language, and methodology, as registered and protected under applicable intellectual property law.

2.2 "The Firefly Path™" means the proprietary six-pillar coaching system developed by Travis White - encompassing the pathways: Awaken, Uncover, Reframe, Rewire, Become, and Live- and utilizing the BTF methodologies: The Triad of Potential (T.O.P.), The I AM Theory™, The A.W.E. Framework, B.E.A.C.H. Flow Mindset, and The Eight Lights Path - including all associated materials, tools, and language.

2.3 "Be The Firefly Frameworks" means, collectively, The I AM Theory™, The Firefly Path™, and all associated proprietary tools, assessments, exercises, language, and materials developed by Be The Firefly LLC.

2.4 "Certification Program" means the full training, coaching labs, assessment process, and supervised practice hours comprising the Be The Firefly Certified Coach program, as delivered by Travis White and/or designated Be The Firefly instructors.

2.5 "Certified Coach" means an individual who has completed all program requirements, passed all assessments, and been granted a license by Be The Firefly LLC to use the Be The Firefly Frameworks in their coaching practice.

2.6 "Licensed Materials" means the curriculum, worksheets, assessments, client-facing tools, and reference documents provided to the Certified Coach for use in their coaching practice under this Agreement.

2.7 "Support Year" means the twelve-month support period beginning on the agreement's effective date of 1:1 access (with Travis) to resources, coaching calls, and community provided by Be The Firefly LLC, as described in Section VI.

2.8 "Client" means any individual who receives coaching services from the Certified Coach utilizing the Be The Firefly Frameworks.

SECTION III: CERTIFICATION REQUIREMENTS

3.1 Program Completion. The Certified Coach agrees to complete all modules, live coaching labs, supervised practice sessions, and assessments comprising the Certification Program as outlined in the Program Schedule provided by Be The Firefly LLC at enrollment.

3.2 Assessment Standards. Certification is conditional upon meeting the performance standards established by Be The Firefly LLC. Completion of coursework alone does not guarantee certification. Be The Firefly LLC reserves the right to withhold, defer, or revoke certification based on assessment outcomes or conduct.

3.3 Investment. The Certified Coach agrees to pay the Certification Program fee of five thousand dollars ($5,000 USD), payable according to the payment schedule agreed upon at enrollment. Failure to complete payment suspends program access and licensure (until payment is caught up or paid in full).

3.4 Program Schedule. Be The Firefly LLC will provide a program schedule at enrollment. Schedules may be adjusted with reasonable notice. The Certified Coach is responsible for attending all required sessions and completing all required work within designated timelines.

SECTION IV: GRANT OF LICENSE

4.1 License Grant. Upon successful completion of all program requirements and full payment of the certification fee, Be The Firefly LLC grants the Certified Coach a limited, non-exclusive, non-transferable, revocable license to use the Be The Firefly Frameworks and Licensed Materials solely in connection with direct, one-on-one and small-group live coaching services provided to Clients.

4.2 Permitted Uses. The Certified Coach may:

Use the Be The Firefly Frameworks in direct coaching sessions with individual Clients.
Reference the I AM Theory™ and The Firefly Path™ by name when describing their coaching approach to prospective Clients.
Use the credential "Be The Firefly Certified Identity Transformation Coach" in professional bios, websites, and marketing materials, in accordance with Brand Standards in Section VII. (Any other coach titles should be pre-approved during the 1-year training period).
Use Licensed Materials with Clients as provided by Be The Firefly LLC.

4.3 Prohibited Uses. The Certified Coach may NOT:

Sublicense, resell, transfer, or share the Be The Firefly Frameworks or Licensed Materials with any third party.
Train, certify, or credential other coaches in the Be The Firefly Frameworks.
Reproduce, distribute, publish, or create derivative works from Licensed Materials without prior written consent from Be The Firefly LLC.
Represent the Be The Firefly Frameworks in group programs, courses, digital products, or redistribution of products as their own.
Represent themselves as an affiliate, partner, employee, or agent of Be The Firefly LLC.
Use the Be The Firefly name, logo, or trademarks in any manner inconsistent with the Brand Standards provided.

4.4 Ownership. Nothing in this Agreement transfers ownership of any intellectual property to the Certified Coach. Be The Firefly LLC retains all right, title, and interest in and to the Be The Firefly Frameworks, Licensed Materials, trademarks, and all related intellectual property. The Certified Coach’s rights are limited to those expressly stated in Section 4.2.

SECTION V: PROFESSIONAL STANDARDS & CODE OF CONDUCT

5.1 Standard of Practice. The Certified Coach agrees to deliver coaching services utilizing the Be The Firefly Frameworks with the highest standards of professionalism, integrity, and care for Client wellbeing.

5.2 Scope of Practice. The Certified Coach acknowledges that identity transformation coaching is not a substitute for licensed mental health treatment, medical advice, or clinical therapy. The Certified Coach agrees to maintain clear scope-of-practice boundaries and to refer Clients to appropriate licensed professionals when clinical need is evident.

5.3 Confidentiality. The Certified Coach agrees to maintain strict confidentiality of all Client information, consistent with professional coaching standards and applicable law.

5.4 Brand Integrity. The Certified Coach agrees to represent the Be The Firefly Frameworks accurately, truthfully, and in alignment with the training received. Misrepresentation of the frameworks, their origins, or their intended application is grounds for immediate termination of this Agreement.

5.5 Ethical Conduct. The Certified Coach agrees to conduct themselves in a manner consistent with the values of Be The Firefly: integrity, compassion, honesty, and genuine care for the people they serve. Conduct that brings disrespect or harm to the reputation and professional integrity of Be The Firefly LLC, Travis White, or the Be The Firefly brand is grounds for termination and revocation of the license.

5.6 Ongoing Development. The Certified Coach agrees to stay current with any updates or revisions to the Be The Firefly Frameworks as communicated by Be The Firefly LLC during the Support Year, and to update their practice accordingly.

SECTION VI: ONE-YEAR of 1:1 SUPPORT FROM THE AGREEMENT’S EFFECTIVE DATE

6.1 Support Period. Be The Firefly LLC will provide twelve (12) months of direct one-one coaching, effective the day the agreement is signed.

6.2 Support Includes. The Support Year includes:

Access to 1:1 live coaching (in-person or by Zoom) for the duration of the twelve months.
Scheduled group coaching or Q&A calls with Travis White or designated Be The Firefly staff (Regenea White)
Lifetime access to all current and future tools, assessments, and coaching materials (through the Firefly Academy membership).
Priority communication access for practice-related questions

* LIFETIME Membership in the Firefly Academy (for continued growth/community)

6.3 Renewal. At the end of the Support Year, the Certified Coach may renew support services (for direct 1:1 coaching) quarterly at $997/quarter, or $250 / single two-hour visits.

6.4 License Continuity. The license granted in Section IV continues beyond the Support Year provided this Agreement remains in good standing and has not been terminated.

SECTION VII: BRAND STANDARDS & REPRESENTATION

7.1 Authorized Credential. The Certified Coach is authorized to use the credential "Be The Firefly Identity Transformation Coach" in professional materials once certification is granted. Any other desired titles should be discussed and pre-approved during the 1-year certification training.

7.2 Logo and Trademark Use. Use of the Be The Firefly logo, seal, or registered trademarks - including The I AM Theory™ and The Firefly Path™ word marks - is subject to the Brand Standards Guide provided at certification. All uses that are beyond the scope of the approved standards must be approved in advance by Be The Firefly LLC.

7.3 Accurate Representation. The Certified Coach agrees to accurately represent their credential and scope of license. They may not imply affiliation with, endorsement by, or acting on behalf of Be The Firefly LLC beyond the certified coaching relationship established in this Agreement.

7.4 Brand Voice. When referencing the Be The Firefly Frameworks publicly, the Certified Coach agrees to use accurate, respectful language consistent with the frameworks’ intended meaning and the Be The Firefly brand values. The Certified Coach will also use all assigned markings denoting protected Intellectual Property: (®, ™, ©, or ^IP).

SECTION VIII: TERM & TERMINATION

8.1 Term. This Agreement takes effect on the Effective Date and continues unless terminated as provided herein.

8.2 Termination by Be The Firefly LLC. Be The Firefly LLC may terminate this Agreement and revoke the license immediately upon written notice if the Certified Coach:

Breaches any provision of Sections IV, V, or VII of this Agreement.
Engages in conduct that materially harms the reputation or brand of Be The Firefly LLC or Travis White.
Misrepresents their credentials, the Be The Firefly Frameworks, or their relationship with Be The Firefly LLC.
Fails to complete payment of the certification fee.
Uses the Licensed Materials or Be The Firefly Frameworks in a manner that causes harm to Clients.

8.3 Termination by Certified Coach. The Certified Coach may terminate this Agreement at any time with thirty (30) days’ written notice. Certification fees are non-refundable after program commencement.

8.4 Effect of Termination. Upon termination, for any reason, the Certified Coach’s license is immediately revoked. The Certified Coach agrees to:

Immediately cease all use of the Be The Firefly Frameworks with new Clients.
Remove all references to the Be The Firefly Certified Coach credential from professional materials.
Return or destroy all Licensed Materials as directed by Be The Firefly LLC.
Honor commitments to existing Clients through a reasonable transition period, not to exceed sixty (60) days, without representing themselves as currently certified as a Be The Firefly Coach- (you must clarify that you are working with them under other coaching credentials)

SECTION IX: CONFIDENTIALITY & PROPRIETARY INFORMATION

9.1 Confidential Information. The Certified Coach acknowledges that the Be The Firefly Frameworks, Licensed Materials, curriculum, business practices, and training methods are proprietary and confidential. The Certified Coach agrees not to disclose, reproduce, or share any proprietary information with any third party without prior written consent from Be The Firefly LLC.

9.2 Survival. The confidentiality obligations of this section survive the termination of this Agreement indefinitely.

9.3 Client Confidentiality. Nothing in this Agreement relieves the Certified Coach of their independent obligations to maintain Client confidentiality consistent with professional coaching ethics and applicable law.

SECTION X: REPRESENTATIONS & WARRANTIES

10.1 By the Certified Coach. The Certified Coach represents and warrants that:

They have the full legal capacity and authority to enter into this Agreement.
Their participation in and use of the Be The Firefly Frameworks will not violate any other agreement, obligation, or applicable law.
The information provided in their application to the Certification Program is accurate and complete.
They will maintain any professional licenses or certifications required by their jurisdiction for the services they provide.

10.2 By Be The Firefly LLC. Be The Firefly LLC represents and warrants that:

It has the full legal right to license the Be The Firefly Frameworks as described in this Agreement.
It will deliver the Certification Program with professional care and in accordance with the program materials provided at enrollment.
It will provide the Support Year as described in Section VI, subject to the terms therein.

SECTION XI: LIMITATION OF LIABILITY & INDEMNIFICATION

11.1 Limitation. In no event shall Be The Firefly LLC or Travis White be liable for any indirect, incidental, consequential, or punitive damages arising from the Certified Coach’s use of the Be The Firefly Frameworks or Licensed Materials. Be The Firefly LLC’s total liability under this Agreement shall not exceed the certification fee paid.

11.2 Indemnification by Certified Coach. The Certified Coach agrees to indemnify, defend, and hold harmless Be The Firefly LLC, Travis White, and their respective affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to the Certified Coach’s coaching services, use of the Be The Firefly Frameworks, or breach of this Agreement.

11.3 No Guarantee of Results. Be The Firefly LLC makes no representation that use of the Be The Firefly Frameworks will produce specific outcomes for the Certified Coach’s Clients. Results depend on Client engagement, circumstances, and effort.

SECTION XII: GENERAL PROVISIONS

12.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

12.2 Dispute Resolution. The parties agree to first attempt to resolve any dispute informally through direct communication. If informal resolution is not achieved within thirty (30) days, the parties shall submit disputes to binding arbitration in the State of Texas under the rules of the American Arbitration Association.

12.3 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior discussions, representations, or agreements.

12.4 Amendments. This Agreement may only be amended by a written instrument signed by both parties.

12.5 Severability. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.

12.6 No Waiver. Failure by either party to enforce any provision shall not constitute a waiver of that or any other provision.

12.7 Notices. All notices under this Agreement must be in writing and delivered by email to the addresses provided at enrollment or by certified mail to the parties' principal addresses.

12.8 Independent Contractors. The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship between Be The Firefly LLC and the Certified Coach.

SECTION XIII: A WORD BEFORE YOU SIGN

This work matters. The people sitting across from you - in your office, on your screen, in your community - carry stories they didn’t choose, beliefs they formed before they had the language to question them, and a capacity for transformation most of them haven’t yet discovered. You’re about to become equipped to go there with them.

Be The Firefly Certified Coaches carry something real. This contract is the formal expression of a mutual commitment: you to the standard, and Be The Firefly to the support. Both matter.

"Your story becomes someone else’s hope." That’s the mission behind this certification. Sign because you believe it.

SECTION XIV: SIGNATURES

By signing below, both parties acknowledge that they have read, understood, and agree to be bound by the terms of this Agreement.

A2. Scope of training

The I AM Theory™: the 12 Keys and their application to identity, internal language, beliefs, patterns and behavior.
The Firefly Path™: AWAKEN, UNCOVER, REFRAME, REWIRE, BECOME and LIVE, supported by DAILY PRACTICE.
Supporting Be The Firefly methodologies identified in the Agreement, including the Triad of Potential (T.O.P.), A.W.E., B.E.A.C.H. Flow Mindset and Eight Lights Path.
Professional coaching application: client intake, session structure, ethical boundaries, appropriate referral, use of authorized tools and accurate framework representation.

A4. Evaluation and certification decision

Completion of training activities does not automatically result in certification. Be The Firefly LLC evaluates the participant against the documented standards above and the professional conduct requirements of the Agreement. Certification and the associated license are issued only after successful completion, approval by Be The Firefly LLC and satisfaction of applicable payment conditions.

Assessment results and next steps will be communicated by [METHOD] within [NUMBER] business days after the final assessment. A participant who does not meet the standard will be informed of the unmet requirements and any available reassessment or remediation process: [DETAILS, INCLUDING FEES IF ANY].

A5. Scheduling, missed sessions and records

A6. Training vs. support

Training activities described here are distinct from the support and Academy benefits described in Section VI of the Agreement. B3. Late payments and access

Under Section 3.3 of the amended Agreement, incomplete payment may suspend program access and licensure until payment is brought current or paid in full. The Agreement also requires full payment before the license grant under Section 4.1. The following administrative details must be completed consistently with those provisions:

B4. Withdrawal, cancellation and refunds

Payment grants access to the purchased training services subject to the Agreement; it does not guarantee successful certification, licensing, clients, income or specific business results. Certification and licensing remain subject to the requirements in Sections III and IV.

SCHEDULE C

Licensed Use, Credentials & Brand Standards

C1. Activation and nature of the license

Under Section IV of the Agreement, the limited, non-exclusive, non-transferable, revocable license becomes active only after the participant has successfully completed all certification requirements and paid the certification fee in full. No ownership of The I AM Theory™, The Firefly Path™ or associated Licensed Materials transfers to the Certified Coach.

C2. Authorized coaching activities

Direct individual coaching with clients using the Be The Firefly Frameworks.
Live small-group client coaching within the scope authorized by Section 4.1, provided it is not a separately restricted course or proprietary curriculum-training product. The practical boundary and any group-size cap are: [DEFINE].
Use of approved client-facing Licensed Materials solely in the format and manner designated by Be The Firefly LLC.
Accurate references to The I AM Theory™ and The Firefly Path™ in marketing and descriptions of the Coach’s authorized approach.
Use of the approved credential and brand assets listed in C4 and C5 while the certification and license remain active.

C3. Activities requiring separate written permission

Training, certifying or credentialing other coaches in the Be The Firefly Frameworks.
Selling, sublicensing, redistributing, publicly posting or publishing proprietary curriculum or Licensed Materials.
Creating derivative versions of Licensed Materials or using them in standalone courses, digital products, certification programs or other offerings outside the approved client-coaching scope.
Using the Be The Firefly name or marks to suggest an agency, employment, partnership or endorsement relationship beyond authorized certification.

Permission requests should be submitted to [APPROVAL EMAIL] and are effective only when confirmed in writing by an authorized Be The Firefly LLC representative.

C4. Authorized credential

Primary designation: [SELECT ONE OFFICIAL DESIGNATION]. The amended Agreement currently references “Be The Firefly Certified Coach,” “Be The Firefly Certified (Life or Mindset) Coach,” and “Be The Firefly Certified Identity Transformation Coach.” The final approved primary and alternate forms must be listed here to prevent inconsistent public claims.

Approved alternate wording (if any): [EXACT TEXT]. Credential use is permitted only while the license remains active and in good standing. The designation represents a private certification issued by Be The Firefly LLC, not a government professional license or independent accreditation.

C6. Certified Coach Directory

Directory listing, if offered, is subject to verification of current certification and license standing, accurate contact details, and compliance with approved branding and professional standards. Listing details, any opt-in requirement, and the process for correcting or removing a listing are: [INSERT DIRECTORY POLICY].

C7. Support, materials and Academy access

The amended Agreement includes lifetime Firefly Academy membership and references access to current and future tools through that membership. This schedule should identify any applicable access conditions, tool availability limitations and exclusions without contradicting Section VI: [INSERT APPROVED ACCESS POLICY]. The license may continue after the Support Year under Section 6.4, provided the Agreement remains in good standing.

C8. Suspension, termination and transition

When certification or licensing ends, the Coach must cease new uses, discontinue credential and brand representations, and follow the return/destruction and existing-client transition provisions of Section VIII. Any narrowly authorized transition use must be expressly described in the Agreement and does not reinstate certification.
